By creating an account or using MDESK you agree to these Terms and the Privacy Policy. The institute is responsible for the student and inquiry data it enters.

1. Agreement

These Terms of Service ("Terms") are a contract between you and Margintop Solutions Pvt. Ltd. ("Margintop Solutions", "we", "us", or "our") for use of MDESK, including the marketing website, institute administration portal, teacher attendance app (including the progressive web app), APIs, optional modules, and related services (together, the "Service").

By creating an account, signing in, clicking to accept, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use MDESK on behalf of an institute or other organisation, you confirm that you have authority to bind that organisation, and "you" includes that organisation.

If you do not agree, do not use the Service. If you already have access, stop using it and ask your institute administrator to deactivate your login.

2. What MDESK is

MDESK is cloud software for teaching institutes, training centres, coaching centres, educational consultancies, and similar organisations. It is built so that day-to-day operations — inquiry, classes, students, attendance, and fees — live in one place.

Core Service (as generally offered)
  • Inquiry and walk-in tracking, follow-ups, and conversion to a student record
  • Courses, batches, class schedules, and teacher assignment
  • Student profiles, enrolments, and custom fields the institute defines
  • Teacher app for marking attendance from a phone or computer, synced to the office
  • Fee recording, dues and balances, CSV export, and an activity audit trail
  • Users and roles: institute owners, sub-admins, staff, and teachers
  • Spreadsheet import, including AI-assisted column mapping that the institute must review
  • Support tickets and in-product account management
Optional modules
  • Modules and prices are as published at mdesk.net/pricing (or a written order we issue). Typical add-ons include document storage, advanced finance (expenses and salary), a marketing module for posting to Facebook, Instagram, TikTok, and LinkedIn from MDESK, and customisation such as a dedicated database or branded site.
  • A module is part of the Service only while it is included in your plan and your credit balance (or other agreed payment) covers it.
  • Features may change as we develop the product. We will not quietly remove a module you are paying for without notice, but we may improve, replace, or retire a feature with reasonable notice.

The Service is provided on an "as is" and "as available" basis except where a separate written agreement says otherwise (for example a customisation contract).

3. Accounts and access

Access is organised around institutes. A person may belong to more than one institute and switch between them while signed in.

How accounts are created
  • An institute workspace may be created when someone registers, or when we provision it under a sales or onboarding arrangement.
  • Institute administrators invite teachers and staff, set roles and permissions, and must deactivate logins when people leave.
  • You may sign in with a username or teacher ID and password, or with Google Sign-In (and any other sign-in method we enable). You must use accurate information.
  • Passwords are hashed. We will never ask for your password by email, phone, or chat. Reset uses a one-time code sent to your registered email.
Your security duties
  • Keep credentials confidential. Do not share a login. Each person who uses MDESK needs their own account.
  • You are responsible for activity under your account until you tell us it was compromised.
  • Notify us immediately at [email protected] if you suspect unauthorised access.

Accounts are not transferable. Platform administrators employed by Margintop may access an institute workspace as needed to provide support, prevent abuse, or meet legal duties — not to operate your institute for you.

4. Institute responsibilities

The institute (through its administrators) is responsible for how MDESK is used in that organisation.

You must
  • Invite only people authorised to see that institute's records
  • Set permissions so staff and teachers see only what they need
  • Tell users about these Terms and the Privacy Policy before they get access
  • Keep billing and admin contact details current
  • Enter student, inquiry, and staff data only where you have a lawful basis under Nepali law — including parent or guardian consent where you enrol or record a minor
  • Check spreadsheet import previews before confirming an import. AI mapping can be wrong
  • Not upload identity documents, visa files, or other sensitive files unless you are allowed to hold them and, where relevant, you have subscribed to a document module with appropriate access controls
  • If you use the marketing module: only connect social accounts you are authorised to manage; comply with Facebook, Instagram, TikTok, and LinkedIn rules; and do not post a student's image, name, or story (especially a minor) without a lawful basis and any required parent/guardian consent
  • Export any data you need before you close the account

For personal data of students, inquiries, parents, and staff that you enter into MDESK, the institute is the data controller and Margintop Solutions is the data processor. That split is explained in the Privacy Policy. You indemnify us for claims that arise because you lacked consent or another lawful basis to enter someone's data.

5. Teachers and the attendance app

Teachers use MDESK to see assigned classes, mark attendance, and view related summaries. Marks sync to the institute. Teachers must mark attendance accurately and only for classes they are authorised to take.

The teacher app may cache class lists and attendance on the device so marking still works with a poor connection. That cache is institute data. Do not use a shared or untrusted device without signing out.

A teacher login does not grant a right to copy, download, or take student lists outside the institute's instructions.

6. Student and inquiry records

Students and walk-in inquiries do not normally have MDESK accounts. Their records exist because the institute created them.

MDESK is not a statutory student-information system for schools unless we have agreed that in writing. It is operational software. The institute remains responsible for any duty it has under education, consumer, or privacy law.

Do not use MDESK to store data you would not be allowed to keep in a paper register: excessive sensitive data, other institutes' databases, or information collected by deception.

7. Licence and acceptable use

The Service is licensed, not sold. We grant you a limited, non-exclusive, non-transferable, revocable right to use MDESK for your institute's internal administration, for as long as your account is in good standing.

You may not
  • Resell, rent, or white-label MDESK except under a written customisation or partner agreement with us
  • Copy, reverse-engineer, or attempt to extract source code except as the law allows
  • Bypass access controls, probe the Service for vulnerabilities without our written permission, or overload the APIs
  • Upload malware, or content that is unlawful, defamatory, or infringing
  • Publish content through the marketing module that you do not have the right to use, that impersonates another person or institute, or that violates a social platform's terms or community standards
  • Use bots or scrapers except ordinary use of our published API with a valid token
  • Impersonate another person or institute
  • Use the Service in violation of Nepali law

We may suspend an account immediately if we reasonably believe these rules are being broken or the Service, other customers, or the public are at risk.

8. Credits, modules, and payment

MDESK is a paid Service. Pricing is module-based and denominated in Nepali Rupees (NPR). One credit equals one NPR unless we state otherwise. Current prices and what each module includes are on mdesk.net/pricing and may change as described below.

How charging works
  • New accounts may receive promotional signup credit as advertised at the time of registration. Promotional credit is not cash, has no residual value if the account is closed, and is not refundable.
  • The base system and add-on modules consume credits (or are invoiced) according to the plan you select. Typical published rates include a monthly base fee and optional document, advanced-finance, and other modules.
  • If we collect payment through a third-party provider, that provider's terms apply to the payment itself. Failed or reversed payments may lead to suspension.
  • Unless a written order says otherwise, module charges are recurring. If your balance cannot cover an active module, we may restrict that module or the workspace after notice.
  • All fees are exclusive of applicable taxes unless stated. You are responsible for taxes that apply to your purchase.
Changes and refunds
  • We may change list prices with at least 30 days' notice to the administrator email. Continued use after that period is acceptance of the new price for the next billing period.
  • Promotional credits, onboarding, data-migration, and customisation fees are non-refundable unless we agree otherwise in writing.
  • If you believe you were charged in error, email [email protected] with the subject [MDesk Billing] within 14 days. We will investigate in good faith.
  • Where the law requires a refund, we will honour that requirement.

A separate signed subscription, customisation, or enterprise order overrides this section to the extent it conflicts.

9. Your data

Records you enter — students, inquiries, attendance, fees, files, and similar — belong to the institute. Margintop Solutions does not claim ownership of that content.

What you allow us to do
  • You grant us a limited licence to host, copy, process, transmit, and display that data solely to provide and secure the Service, including backups, support, and the AI mapping described below
  • You confirm that you have the right to grant that licence and that the data does not violate others' rights
Export and deletion
  • You may export supported records (typically CSV) from the Service while your account is active
  • After termination or closure, you should request any remaining export within 30 days. After that we may delete or anonymise personal data as described in the Privacy Policy
  • We keep limited billing, security, and legal records as the law requires
AI-assisted import
  • If you use spreadsheet import, we may send headers and sample rows to a third-party AI provider to suggest field mapping. You must review the mapping and preview before confirming
  • We do not use identifiable institute records to train public AI models
  • AI output is a convenience, not a guarantee of accuracy. Wrong imports are the institute's responsibility to correct

10. Public listing and marketing module

If you fill in a public institute listing (name, description, contacts, map, logo, social links), you authorise us to display that information on MDESK and related discovery pages. Keep it accurate and do not include personal data of students.

The marketing module lets authorised users create, edit, schedule, publish, and review posts from MDESK to connected accounts on Facebook, Instagram, TikTok, and LinkedIn (and any other network we enable and you connect). You may compose once and send to more than one of those networks. Post volume, file-size, and daily limits are as stated on the pricing page or in the product.

Your authority and content
  • By connecting an account you confirm you are allowed to manage it for the institute, and you appoint MDESK as a technical agent to call that platform's APIs using the tokens you grant — only to provide this feature
  • You are solely responsible for captions, hashtags, images, video, music, mentions, first comments, targeting, and timing. You must own the content or have a licence to post it, including music and footage of people
  • You must follow each platform's terms, community standards, advertising rules, and local law. A platform may reject, delay, label, limit, or take down a post, or revoke our app's access. We are not liable for those platform decisions or for follower reach
Disconnecting
  • Disconnecting a network in MDESK stops new publishes and scheduled jobs for that connection as soon as we can revoke the token. Posts already live stay on the platform until you delete them there
  • If a platform changes or withdraws an API, we may pause that network with notice. Other MDESK features continue

11. Intellectual property

The MDESK software, design, documentation, name, logo, and trademarks are owned by Margintop Solutions Pvt. Ltd. or its licensors. These Terms do not transfer any intellectual property to you.

What we own
  • The platform, APIs, teacher app, and underlying technology
  • The MDESK name, logo, and trade dress
  • Aggregated or anonymised operational statistics that do not identify your institute or any person

Feedback you send us may be used to improve the Service without payment to you.

12. Confidentiality

Each party may see confidential information of the other (including institute records, pricing not on the public site, and non-public product plans). Each party will use that information only to perform these Terms, protect it with reasonable care, and not disclose it except to people who need it and are bound to keep it confidential, or as the law requires.

This does not apply to information that is public, independently developed, or already known without a duty of confidence. Confidentiality continues for three (3) years after the relationship ends, and indefinitely for personal data for as long as the Privacy Policy requires.

13. Availability

We aim for high availability. Unless a written SLA says otherwise, uptime is a target, not a warranty.

Maintenance and interruptions
  • Planned maintenance will usually be in off-peak hours (about 22:00–04:00 Nepal time). We will try to give at least 48 hours' notice when we expect a noticeable outage
  • Emergency maintenance may happen without notice if needed for security or stability
  • We are not liable for interruptions caused by your internet, third-party clouds, payment providers, Google, Meta, TikTok, LinkedIn, AI providers, or events outside our reasonable control

If we have committed to service credits in a written order, those credits are the sole remedy for downtime covered by that order.

14. Disclaimers and liability

TO THE MAXIMUM EXTENT PERMITTED BY NEPALI LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that
  • The Service will be uninterrupted, error-free, or free of harmful components
  • Attendance, fee, or import results will be complete or accurate if the institute or a teacher entered or confirmed incorrect data
  • AI mapping or any insight feature will be correct
  • A post will appear, remain up, or reach a given audience on Facebook, Instagram, TikTok, or LinkedIn, or that those platforms will keep granting MDESK API access
  • The Service will meet a particular regulatory filing duty unless we have agreed that in writing

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARGINTOP SOLUTIONS PVT. LTD.'S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE OR THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM (OR, IF YOU HAVE ONLY USED PROMOTIONAL CREDIT, NPR 1,000).

We are not liable for indirect, incidental, special, consequential, or punitive loss, including lost profits, lost data, or loss of goodwill, even if we were advised that such loss was possible.

Nothing in these Terms excludes liability that Nepali law does not allow to be excluded, including liability for fraud or for death or personal injury caused by negligence where such a limit would be unlawful.

15. Indemnity

You will defend and indemnify Margintop Solutions Pvt. Ltd. and its directors, employees, and agents against claims, damages, and reasonable legal costs arising from:

Covered claims
  • Your breach of these Terms
  • Data you enter, import, or upload, including claims that you lacked consent or a lawful basis, or that the data infringes someone's rights
  • Your institute's public listing, social posts, or connected Facebook, Instagram, TikTok, or LinkedIn accounts, including claims about consent, copyright, defamation, or platform-rule breaches
  • Use of the Service by people you invited

This duty survives termination.

16. Suspension and termination

You may stop using the Service at any time. To close an institute workspace, the administrator should contact us so we can confirm export and deletion.

When Margintop Solutions may suspend or end access
  • Material breach of these Terms, including non-payment after notice
  • Security risk, fraud, or abuse
  • If we discontinue MDESK entirely, with at least 30 days' notice where reasonably possible
After termination
  • Your right to use the Service ends
  • Export what you need before the date we confirm closure; see Section 9
  • Sections that should survive (including fees owed, IP, confidentiality, liability limits, and indemnity) remain in force

17. Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disaster, epidemic, war, major infrastructure failure, or acts of government. The affected party must notify the other and resume when reasonably possible. If the event lasts more than 60 days, either party may end the affected Service without penalty, except that amounts already owed remain payable.

18. Governing law and disputes

These Terms are governed by the laws of Nepal, including the Electronic Transaction Act, 2063 (2008), the Individual Privacy Act, 2018, the Companies Act, 2063 (2006), and other applicable Nepali law.

How disputes are handled
  • Write to us first. We will try to resolve the issue in good faith within 30 days
  • The parties may agree to mediation in Nepal before filing a case
  • Courts of competent jurisdiction in Nepal have exclusive jurisdiction, except that either party may seek urgent injunctive relief to protect intellectual property, confidential information, or personal data

19. Changes to these Terms

We may update these Terms. For material changes we will update the date on this page and, where practicable, notify the administrator at least 15 days in advance by email or in-product notice.

If you continue to use the Service after the new Terms take effect, you accept them. If you do not agree, you must stop using the Service before that date and tell us in writing if you need an export.

20. General

These Terms, the Privacy Policy, and any signed order or customisation agreement are the entire agreement for the Service. If they conflict, a signed order controls, then these Terms, then the Privacy Policy for privacy matters.

Other terms
  • If a provision is unenforceable, the rest remains in force
  • A failure to enforce a right is not a waiver
  • You may not assign the contract without our written consent. We may assign it in connection with a reorganisation or sale of the business
  • The English version of these Terms prevails over any translation
